By purchasing, downloading, or using the LabelX Design System and Icon Pack, you acknowledge that you have read, understood, and agree to be bound by the terms of this License Agreement.

Introduction

LabelX ("Licensor", "we", "us", or "our") provides the LabelX Design System and Icon Pack ("Product") through our website. By purchasing, downloading, or using our Product, you ("Licensee" or "you") agree to be bound by this License Agreement ("Agreement"). If you disagree with any part of this Agreement, you may not access, purchase, or use our Product. This Agreement applies to all users who access or use our Product. By using our Product, you confirm that you are 18 years of age or older and legally responsible for all actions you perform with the Product.

License Types and Grant

We offer three license types for the LabelX Design System and Icon Pack: Single User License, Team License (up to 5 users), and Enterprise License (up to 20). Each user must purchase their license at a one-time fee. The license grants you the right to use the Product as specified in this Agreement but does not transfer ownership. The perpetual license allows lifetime updates and support, with updates released quarterly and available for download upon request.

Permitted Uses and Restrictions

Permitted Uses

• Use the Product in unlimited projects for yourself or your clients

• Create websites, web applications, mobile apps, and software applications for commercial or non-commercial purposes

• Develop user interfaces for various platforms

• Use the Product as a starter kit to build design systems for yourself, your clients, or internal company purposes

• Create commercial SaaS applications or websites for end users who pay to use your services, either as a subscription or a one-time fee

Restrictions

• Do not redistribute, resell, lease, license, sub-license, or sell the Product in its original or modified form

• Do not share the Product with unlicensed users or participate in "group buys"

• Do not use the Product to create a UI kit, theme, template, or design system for redistribution or sale

• Do not create a version of the Product using other technologies (e.g., React, Vue, HTML, CSS) for redistribution or sale

• Do not publish or distribute the Product or its assets online or make them publicly available

• Do not permit end-users of your projects to extract the Product and use it separately from your end product

• Do not claim ownership or authorship of the Product

Intellectual Property and Ownership

All intellectual property rights in the Product remain the exclusive property of LabelX. This license grants you the right to use the Product as specified in this Agreement but does not transfer ownership or copyright. You may not claim ownership or authorship of the Product. The Product is protected by copyright, trademark, and other laws of Israel and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of LabelX.

User Responsibilities

You are responsible for all actions performed when using the Product and must ensure compliance with all applicable laws and regulations. You are responsible for maintaining the confidentiality of your account and password. Your account may be used only by you, and we reserve the right to terminate your account if we notice any suspicious activities, pending clarification of circumstances.

Support and Maintenance

We offer technical support to licensed users of the Product. Support is limited to issues directly related to the Product and does not include custom development or integration services. Your purchase includes lifetime updates and support, with updates released quarterly and available for download upon request.

Limitation of Liability

The Product is provided on an "as is" and "as available" basis, without any warranties, express or implied. LabelX and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Product. This includes, without limitation, damages for lost profits, data loss, business interruption, or any other commercial damages or losses.

Indemnification

You agree to indemnify and hold LabelX, its affiliates, directors, officers, employees, agents, suppliers, and licensors harmless from any claims, damages, obligations, losses, liabilities, costs or debt, and expenses resulting from your use of the Product or any violation of this Agreement.

Changes to the Agreement

We reserve the right to modify this Agreement at our sole discretion. If a revision is material, we will provide at least 15 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Product after any revisions become effective, you agree to be bound by the revised Agreement.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in Israel.
